Read this: the guy Mark at Street and Performance is a genius, and has done tons of swaps like this. I found this article when I was thinking about your same swap, and it helped out a lot. It took me a while to find but it dam near tells you everything you need to know, hope it helps:

Yeah dude, no problem. Everyone I talked to said it would be a nightmare of a swap, but I was determined to find a way to make it work. I almost gave up on searching for info on it when I finally found that

You dont have to run the old blackbox PCM piggy back with the newer PCM.
I would drop a 411 PCM into the 97 and use it to drive the newer 5.3. Throw an LS1 Camaro tune in the PCM for cable throttle or use an LS1 Vette calibration for a DBW application.
This guy dropped an LQ9 in his 95.

He now has an 07flexfuel 5.3 with 6l80e 6 speed trans in it now.
